Show moreThis book focuses on the general right of suspension regulated in article 6:52 et seq. of the Dutch Civil Code. The author pays attention, among other things, to the requirements for the power to suspend, including the coherence criterion (Dutch: samenhangcriterium), which is also the central requirement. The author explains that this criterion is not a measure of judgment or criterion to be judged by itself, but the existence of sufficient coherence between mutual obligations to justify suspension is rather a conclusion that follows the application of the coherence criterion. The author also discusses how the general right of suspension is exercised. Under circumstances, that exercise may be unacceptable. This involves weighing the interests involved in that exercise. Procedural aspects of the general right of suspension are also discussed, including the dictum. The author discusses that under circumstances an order for gradual performance fits a defense of suspension better than a rejection of the claim. The author makes this concrete using many examples mainly from case law. This book is therefore relevant for both law and legal practice. Show less

Show moreIn current Dutch law, a concurrence of actions is possible between the rei vindicatio and the action to recover an undue payment (‘vordering uit onverschuldigde betaling’). From a historical point of view, though, this concurrence is remarkable. In Roman law, the rei vindicatio and the condictio—the historical precursor of the modern actio to recover an undue payment—were opposites: whereas the rei vindicatio was based on the plaintiff’s ownership of an object, the condictio was based on the defendant’s obligation to transfer ownership to the plaintiff. Consequently, concurrence of these actions was, barring a few—but noteworthy—exceptions, impossible. This book explores the development of the condictio in relation to the rei vindicatio. As part of this development, the requirement that transfer of ownership is only possible when a valid title (iusta causa) is present—and the question what actually constitutes a iusta causa—plays an important role. Consecutively, attention is given to Roman law, the ius commune, and the enactment of the modern codifications in Germany, Switzerland, France, and the Netherlands. Schiet een bank tekort als zij haar cliënten slechts in algemene termen informeert over de risico’s van een financieel product? Deze en dergelijke vragen staan centraal in dit boek over informatieplichten (plichten tot vergaring of verstrekking van informatie) in het verbintenissenrecht.Het onderzoek behelst een vergelijking van (pre)contractuele en delictuele informatieplichten, vanuit een overkoepelend verbintenisrechtelijk perspectief. Centraal staan enerzijds de precontractuele mededelingsplicht bij dwaling en anderzijds de delictuele waarschuwingsplicht bij gevaarzetting. Behalve het dwalingsleerstuk en de onrechtmatige daad komen ook de wilsvertrouwensleer, de onbevoegde vertegenwoordiging, de uitleg van overeenkomsten, nakoming, wanprestatie en non-conformiteit, de aansprakelijkheid wegens afgebroken onderhandelingen, de buitencontractuele risicoaansprakelijkheid, de werkgeversaansprakelijkheid voor arbeidsongevallen en beroepsziekten, de oneerlijke handelspraktijken en de aansprakelijkheid van beroepsbeoefenaren en dienstverleners aan de orde.
