Show moreIn this dissertation the agreement as to proceedings is the central point. By means of an agreement as to proceedings, parties diverge from procedural law. It is relevant to conduct research into agreements as to proceedings, as they may contribute to a swift and efficient course of the civil proceedings. In addition, research into these agreements can result in a better insight into the question about the control over the proceedings. Who ultimately has the right to determine the course of affairs during the proceedings? Is it the parties, whose substantive rights are at issue, or is it the government, which makes the civil proceedings available? Three main questions are to be distinguished in this research. Firstly, the admissibility of agreements as to proceedings has been examined. To what extent can parties validly conclude an agreement as to proceedings? Secondly, the effect of agreements as to proceedings has been examined. What are the consequences of an agreement as to proceedings concluded by parties? Show moreReferences to 'balancing' and 'weighing' are ubiquitous in modern constitutional rights adjudication discourse in many Western legal systems. This thesis traces the rise of this form of language to a series of decisions by the German Federal Constitutional Court and the U.S. Supreme Court of the late 1950s and early 1960s and to scholarly debates surrounding these decisions. Based on a detailed study of these historical origins, the thesis develops 'local meanings' of balancing that show striking differences as between jurisdictions. These local meanings are then compared on a conceptual grid derived from the common problematic of managing the relative formality of the legal order. Balancing in the U.S., in this model, is the expression of a skeptical pragmatism, whereas in German law. it is the centrepiece of an aspirational legalism. Understanding these differences is crucial to an evaluation of the legitimizing potential of balancing-based legal reasoning.So, while balancing in the U.S. is mostly seen as a pragmatic solution for when legal doctrinal models break down, German balancing is instead the expression of basic choices pertaining to the foundations of the constitutional legal order as a whole.The range of striking differences found between these meanings counters widely accepted claims as to the convergence of practices of constitutional rights adjudication on a 'balancing model' Show less

Show moreThe advent of shareholder value (‘Great Reversal in Corporate Governance’) coupled with shareholdership’s increasing short-termism (‘Great Reversal in Shareholdership’) have contributed to the low growth rates in France, Germany, The Netherlands, UK, US. The study presents a causality chain: the two Great Reversals led to higher equity payout ratios and lower retention ratios in corporations that in turn caused lower rates of capital accumulation that in turn caused lower growth rates. Corporate law is an accomplice for the advent of shareholder value and thus shares the blame for the low rates of capital accumulation. The post-Bretton Woods shareholder value index -a numerical legal index- shows the progress that the corporate law has made at the shareholder value level during the past 40 years.Corporate law has escalated the divestment of long-termist investors from equity and has preserved the trend towards short-termism. Corporate law developments generating bias in favor of short-termism are presented.‘Long Governance’ emerges as a remedy for stagnation. It is a management theory calling management to observe the long-run interests of all the shareholders who hold, have held, or will hold stock and a legal concept requiring directors’ duties to be discharged towards maximizing long-term corporate welfare. Schiet een bank tekort als zij haar cliënten slechts in algemene termen informeert over de risico’s van een financieel product? Deze en dergelijke vragen staan centraal in dit boek over informatieplichten (plichten tot vergaring of verstrekking van informatie) in het verbintenissenrecht.Het onderzoek behelst een vergelijking van (pre)contractuele en delictuele informatieplichten, vanuit een overkoepelend verbintenisrechtelijk perspectief. Centraal staan enerzijds de precontractuele mededelingsplicht bij dwaling en anderzijds de delictuele waarschuwingsplicht bij gevaarzetting. Behalve het dwalingsleerstuk en de onrechtmatige daad komen ook de wilsvertrouwensleer, de onbevoegde vertegenwoordiging, de uitleg van overeenkomsten, nakoming, wanprestatie en non-conformiteit, de aansprakelijkheid wegens afgebroken onderhandelingen, de buitencontractuele risicoaansprakelijkheid, de werkgeversaansprakelijkheid voor arbeidsongevallen en beroepsziekten, de oneerlijke handelspraktijken en de aansprakelijkheid van beroepsbeoefenaren en dienstverleners aan de orde. De auteur ontwikkelt een algemeen model voor de aanvaarding van precontractuele en delictuele plichten tot informatieverstrekking. Hij pleit voor een inhoudelijke gelijkschakeling van informatieplichten over de volle breedte van het verbintenissenrecht. Show moreIn dit onderzoek zet ik eerst uiteen wat naar mijn mening verstaan dient te worden onder de rechtsbeginselen contractvrijheid en solidariteit waarbij ik tot de gevolgtrekking kom dat beide rechtsbeginselen gezien zouden moeten worden als de samenstellende onderdelen van het overkoepelende rechtsbeginsel partijautonomie.1 Vervolgens onderzoek ik welke rol dit rechtsbeginsel speelt in het gemene huwelijksvermogensrecht en bespreek ik het daarna tegen de achtergrond van huwelijkse voorwaarden. Hierbij wordt de rode draad gevormd door de beantwoording van de vraag of het echtgenoten naar Nederlands recht thans geheel vrij staat om het door hen verkozen Ehetyp vorm te geven voorafgaand aan hun huwelijk. In een intermezzo wordt de visie van de hoogste Duitse rechter op beide rechtsbeginselen uiteen gezet in het licht van de uitleg van Eheverträge ten tijde van de echtscheiding. Het primaire doel hiervan is enkele opmerkingen van rechtsvergelijkende aard te kunnen maken in het zevende hoofdstuk. Hierna behandel ik de vraag of contractvrijheid en solidariteit rechtsbegrippen zijn die door de Hoge Raad worden toegepast bij de uitleg van huwelijkse voorwaarden in echtscheidingszaken. Nadat het antwoord op deze vraag is gevonden, vertaal ik de Duitse wijze van beoordeling van huwelijkse voorwaarden naar de Nederlandse context, met het oogmerk de rechter een naar mijn oordeel goed bruikbaar instrument aan te reiken dat recht doet aan eisen van rechtvaardigheid en rechtszekerheid. Teneinde een volledig beeld te verwerven, bespreek ik daarna hoever de contractvrijheid reikt van ouders met gezamenlijk gezag over een minderjarig kind. Nadat ik kort ben ingegaan op enkele wetsvoorstellen op het terrein van het huwelijksvermogens- en echtscheidingsrecht vanuit het perspectief van partijautonomie, sluit ik af met een proeve van een concreet wetsvoorstel voor de invoering van het civiel partnerschap dat het huidige huwelijksvermogensrecht vervangt en ook openstaat voor ongehuwde en niet-geregistreerde samenwonende partners.
