Show moreIn the Netherlands, the title of Minister of State is granted to a select set of senior politicians and administrators, generally towards the end of their career. They are appointed by the monarch, acting on a proposal by the cabinet. In this capacity, they are then asked to perform certain activities or to carry out specific tasks. Both the content of the Minister of State role itself and the appointment process are quite vague. Nevertheless, this exclusive ministerial title has considerable social status. The aim of this research study is to provide insight into the title of Minister of State. The problem description is as follows: What development has taken place in the role of Minister of State; what has the legal and political significance of the Minister of State been; and what can be said about the present-day role of Minister of State, in the Netherlands and in various other countries? Chapter 2 investigates the development of the Minister of State from a historical perspective. In Chapter 3 the various appointments as Minister of State are studied for each monarch. Chapter 4 examines the present-day role of Minister of State. In Chapter 5 a comparative legal study is made of whether other countries also have a Minister of State and what parallels and differences can be seen in relation to this title in the Netherlands.Chapter 6 brings together the findings of the research study and presents the conclusions that were drawn. Show moreThis dissertation is about intra-EU workers and labour law related (bogus) constructions under which they work in the Netherlands and other EU member states.Through the following two main research questions this situation is outlined and analysed.1. To what extent do intra-EU workers in the Netherlands work under labour law related (bogus) constructions that (financially) disadvantage them?2. What are the perceptions of intra-EU workers regarding the use of labour law related (bogus) constructions and their working conditions and circumstances under which they work in the Netherlands and other EU member states? In each chapter of this thesis, these questions are elaborated into more specific research questions. In this research both legal and empirical research that fits within the Empirical Legal Studies (ELS) framework is conducted. Through this combination of research methods it was viable to link the collected empirical (interview) data to the legal data based on literature and case law research. Hence, the theory (law in books) was tested against facts and observations (law in action). Moreover, by establishing this link the present research adds a new and valuable dimension to current academic legal and social scientific research. Show less

Show moreThis research identifies a model for the interpretation of a contract under Dutch law. The model answers the question of which method should be applied to interpret a contract in the contest of a specific case, considering existing legislation, case law and legal doctrine. The model indicates which method of interpretation (e.g., the objective-oriented method of interpretation) is applicable, based on a case specific selection and assessment of sources of interpretation (such as ‘the linguistic meaning of the wording’, ‘the pre-contractual phase’ or ‘trade usages’) by using contextual factors (e.g., ‘the nature of the contract’, ‘the nature and knowledge/experiences of the parties to the contract’ and ‘the manner of the formation of the contract’). A suitable method of interpretation can be identified and applied by selecting and balancing sources of interpretation in light of contextual factors. The model provides guidance on contract interpretation to parties engaged in a dispute about the meaning of the contract, and persons who need to solve such a dispute, such as judges and arbitrators. The law of evidence will also be considered. The model, as identified under Dutch law (see Chapters 2 to 5) will be evaluated and both foreign legal systems (English and French law) and transnational principles (the PECL, the DCFR and the PICC; see Chapters 6 to 8) will be considered. Show moreThis dissertation discusses the injunction and whether there is a claim for a preventive remedy. It explains how the injunction is regulated in Dutch law, when it can be pronounced and what the grounds for refusal are.Using supranational law, the requirements that a remedy must meet to be effective are examined. It concludes that a remedy is effective if it can enforce substantive rights, can be deployed in a timely manner, has a deterrent function and is proportionate.Three themes are then used to examine whether the national regime is in line with those requirements. In that regard, the role and freedom of the courts, the situation where performance has become impossible, and collective actions against the government are examined. The conclusion is that the national regulation is adequate. Show less

Show moreI began this book with the observation that top remuneration in the Netherlands causes commotion and social unrest. Among other things, this unrest has led to remuneration legislation, which in the eyes of some is too intrusive and encounters legal objections. Intervention in wages is certainly not new; after World War II, the Dutch government sometimes interfered intensively with wage development. There were various reasons and justifications for this, such as economic stability, control of government spending and proportional income distribution. Partly under the influence of ILO standards on collective bargaining freedom, the role of government, more specifically in the capacity of legislator, in wage setting has diminished. In the 21st century, until now, the emphasis has been on regulating top pay. The public outcry about it obviously plays a role in this, but many other reasons have been advanced to justify this government intervention. These include prudent use of public funds and reducing financial incentives through rewarding undesirable or even risky behavior. Although the context of and reasons for intervening in top pay differ from previous pay measures, the question remains whether the government, the legislature, may do so. In this dissertation, I examined where the main legal limits of legal intervention in top pay lie. To what extent can the Dutch government legally intervene in top pay? I examined two fundamental rights, being the right to property and the right to free collective bargaining, and concurrence with equivalent remuneration standards to determine these limits. Show less

Show less

Show moreThis thesis focuses on the duty of independence and impartiality for arbitrators. The starting point is unambiguous: an arbitrator should be independent and impartial. Less unambiguous is the answer to the question of what this duty of arbitral independence and impartiality entails. This thesis aimed to shed light on this (general) research question. The objective of this doctoral research was twofold. On the one hand, the objective was to gain insight into the way in which the duty of arbitral independence and impartiality is interpreted judicially. To this end, it was examined how the duty is interpreted in arbitration legislation, institutional rules, and (arbitral) court rulings. On the other hand, the objective was to shed light on a number of (open) questions related to the scope of the duty. In this respect, it was examined, among other things, who exactly is subject to the duty, how the duty emerges in arbitration legislation and institutional rules, what the duty aims to achieve, the question from when and to when arbitrators must be independent and impartial, and whether the parties can waive the right to an independent and impartial arbitrator. Show less

Show moreThis research presents a multidisciplinary study of information provided by the Dutch Tax and Customs Administration in a context of the rule of law and its implications for the application of the principle of legitimate expectations in Dutch tax law. The study involves both the legal perspective and the citizens' perspective. This study subjects the current legal position to a critical analysis and – partly based on insights from linguistics and communication science – explores options for improvement. The central question is: ‘Should the application of the principle of legitimate expectations in the provision of information by the Dutch Tax and Customs Administration to citizens be re-evaluated, and if so, how?’ Show less

Show moreThis book explores the underlying principles of the law of compensation. To this end, it examines the meaning of four essential concepts: ‘damage’ (schade), ‘benefit’ (voordeel), ‘damage attribution’ (schadetoerekening) and ‘benefit attribution’ (voordeelstoerekening). As a result of this examination, a three-step approach to compensation law cases becomes apparent. Although this approach is in my opinion widely followed in legal practice, it is usually not made explicit. By doing so, I hope to help legal practitioners clarify andrefine their reasoning and argumentation in compensation law cases and offer guidance in addressing the many challenging questions that arise in this area of law. Show moreCuraçao is an autonomous country within the Kingdom of the Netherlands and has just one single tax treaty for the prevention of double taxation, namely with Norway. Curaçao has proven unsuccessful in the conclusion and ratification of full tax treaties. Until now, little attention has been paid to the underlying reasons why Curaçao has proven unsuccessful in building a tax treaty network. The central research question is: “How should Curaçao design its tax treaty policy in order to build a tax treaty network?” This study does not aim to provide recommendations on the technical aspects of a tax treaty policy or a model convention. Rather, the objective of this study is to identify the conditions for building a tax treaty network. The research identifies the obstacles for Curaçao to conclude (and ratify) tax treaties. Furthermore, the research shows which considerations are relevant for Curaçao to build a tax treaty network. The outcome of this research is an evaluation framework that can act as a guide for Curaçao when designing a tax treaty policy or adjusting a potentially existing (but unpublished) tax treaty policy. The purpose of the bankruptcy proceeding is to distribute the assets of those companies among its creditors. The total value of the claims of the creditors, however, almost always greatly exceeds the value of the company’s assets. In approximately 25% of the bankruptcies irregularities have occurred that caused the bankruptcy or increased the deficit in the estate. The societal damage caused by these irregularities is estimated at more than one billion euros per year. The legislator has given bankruptcy trustees a central role in identifying and redressing irregularities. However, the task of the trustee is not without controversy, mainly because the bankruptcy community does not agree with the legislator’s assumption that the task of dealing with irregularities is an extension of the trustee’s core task of liquidating the estate in the interest of the joint creditors. This research examines the discrepancies between the expectations of the legislator and the practice of redressing irregularities by trustees. Based on three empirical studies, it is concluded that the expectations of the legislator have not yet materialized, especially because trustees experience various obstacles when dealing with irregularities. The likelihood of irregularities being addressed does not appear to depend solely on the financial resources in a specific bankruptcy, but also on the person of the trustee and the views of the supervising court and its supervisory judges as perceived by the trustee. The thesis culminated in a number of recommendations to remove obstacles experienced by trustees and a plea for a revision of the primacy of creditors in bankruptcies, in order to promote sustainable liquidation. Show less

Show moreLabour exploitation of migrants is a serious problem worldwide, also in Europe and in the Netherlands. Since the entry into force of the Palermo Protocol (2000), labour exploitation has been regarded as a form of the criminal offense of human trafficking. This means that the approach is largely aimed at the most serious forms of exploitation and at criminal prosecution of the perpetrators. The legal position of the victims is subordinate to the criminal proceedings. This study focuses on the rights of migrants to protection against labour exploitation; in the EU and in the Netherlands in particular. Labour exploitation is herein defined as a violation of labour standards laid down in different jurisdictions. Based on an analysis of human rights, criminal law, the right to free movement of persons and migration law for third country nationals, how protection is offered to migrants against labour exploitation. The research identifies the rights that migrants can derive from these four jurisdictions and analyses how access to these rights are facilitated by the state. Due to this combination of aspects, this study contributes to increasing insight into migrant's rights to protection against labour exploitation by the state. Show less

On the 23th of March 1933, Hitler took power and abolished democracy to start building his totalitarian Third Reich. Since then, the Weimar Republic became famous – or rather infamous – for being a ‘failed democracy’. In this research, the downfall of Weimar’s democracy is of central interest. After broadly stating the historical reality of the first Germany democracy, this thesis focusses on the juridical and philosophical concepts underlying the Weimar democracy to answer the question to what extent they offered real possibilities to defend the democratic state. It answers this question for the dominant philosophical school in Germany when the Weimar Constitution was drafted: legal positivism, for the Weimar Constitution itself as well as for Hans Kelsen, Carl Schmitt, Hermann Heller and Rudolf Smend.
