Regres bij concernfinanciering
In de Nederlandse financieringspraktijk is het gebruikelijk dat groepsmaatschappijen zich hoofdelijk aansprakelijk stellen voor het concernkrediet. Dit proefschrift gaat over het regresrecht dat voortvloeit uit deze hoofdelijke aansprakelijkheid. In het proefschrift worden twee thema’s centraal gesteld: (I) de draagplichtproblematiek en (II) de onzekerheid over de beoogde effectiviteit van regresrecht-beïnvloedende bepalingen. Van beide thema’s wordt het debat ter zake geduid. Ook worden er aanbevelingen gedaan om de betreffende problematiek te mitigeren. Dit geldt in het bijzonder voor de draagplichtproblematiek. In het onderzoek wordt een alternatieve methode geopperd voor het vaststellen van de interne draagplicht. Een belangrijk uitgangspunt van deze methode is: ‘Wie bepaalt, betaalt’.
